1. Agreement to Terms

By accessing or using Cira, you ("Customer," "you," "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree, you may not use the service.

These Terms govern your use of Cira's AI-powered call answering, receptionist, messaging, and scheduling services ("Service").

2. Service Description

Cira provides AI-driven phone receptionist services, including call handling, call recording, call forwarding, message-taking, scheduling, and contact management through its built-in CRM.

Cira is not a human operator.

All responses are generated algorithmically based on your business information and your configuration settings.

We may update, modify, or improve the Service at any time.

3. Call Limits, Usage, and Overages

All Cira plans include:

  • Unlimited conversational minutes, AND
  • Up to 1,000 inbound and outbound calls per month

A "call" counts as any initiated call event, regardless of duration.

Overage:

Calls beyond 1,000 per month are billed at $0.10 per call, charged to your payment method on file.

Cira may throttle, restrict, or suspend accounts that use the Service for:

  • Robocalling
  • Fraudulent activity
  • High-volume commercial telemarketing
  • Patterns that risk platform stability

We may require additional verification for unusually high usage.

4. Accuracy & AI Limitations

Cira generates responses using artificial intelligence.

You acknowledge that:

  • AI may provide inaccurate, incomplete, or unexpected responses
  • Cira is not responsible for errors caused by incorrect or outdated business information
  • You are responsible for reviewing and updating the Service configuration

Cira provides no warranty that the Service will respond perfectly to every caller request.

5. Customer Responsibilities

You agree to:

  1. Provide accurate business information and keep it updated.
  2. Ensure your usage complies with all applicable laws, including TCPA, TSR, and call recording laws.
  3. Ensure you have all necessary rights to any phone numbers you provide to Cira.
  4. Use the Service for legitimate business purposes only.
  5. Not use Cira to engage in illegal, harmful, or abusive conduct.

6. Call Recording & Consent

Call recording is ON by default.

Cira includes an automated recording disclosure in the greeting.

You may adjust the greeting or disable recording, but you are solely responsible for compliance with your state's and your callers' jurisdiction's call recording laws, including all-party consent regulations.

Cira is not liable for your failure to follow applicable consent requirements.

7. Data Retention & Deletion

Cira retains call data, call recordings, transcripts, and logs for 30 days, after which they are permanently deleted.

You are responsible for exporting or saving any data prior to deletion.

Data deleted from our systems cannot be recovered.

8. Third-Party Providers

Cira relies on third-party infrastructure, including but not limited to:

  • Twilio (telephony & SMS)
  • OpenAI (AI language processing)
  • Microsoft Azure (hosting & compute)

You acknowledge that:

  • Outages or errors by third parties may impact the Service
  • Cira is not liable for any failures or downtime caused by third-party vendors
  • You must comply with the terms of any services you connect to Cira

9. SMS/Text Messaging Terms

Cira provides SMS text messaging services to customers of Cira-registered businesses and to business owners who opt in to receive notifications. By using Cira's SMS features, you agree to the following:

Program Description

Cira sends transactional SMS messages on behalf of registered businesses, including appointment confirmations, booking links, service information, business hours, and customer service responses. Business owners may also receive SMS notifications about incoming calls, messages, and account updates.

Message Frequency

Message frequency varies based on your interactions. Customers receive messages only in response to requests or inquiries. Business owners receive notifications based on business activity and their notification preferences.

Message and Data Rates

Message and data rates may apply. Contact your wireless carrier for details about your text and data plan.

Opt-Out

You can cancel SMS messages at any time. Text STOP to the number from which you received a message. After you send STOP, we will send a confirmation message confirming your unsubscription. You will no longer receive SMS messages from that number. If you want to receive messages again, you may opt back in by texting START or by initiating a new conversation.

Carrier Liability

Carriers are not liable for delayed or undelivered messages.

10. Security

Cira has implemented modern security and data protection measures consistent with best practices.

11. Subscription, Billing, Refunds & Cancellation

11.1 Billing

  • You are charged on your subscription anniversary date.
  • Subscriptions renew automatically unless canceled.
  • You authorize Cira to charge your payment method on file.

11.2 Monthly Plans

  • "Cancel anytime" means you may cancel and the plan will end at the next billing date.
  • No refunds are provided for monthly plans.

11.3 Annual Plans

Annual subscribers may cancel early and receive:

  • A prorated refund,
  • Calculated using Option A:

Refund = (amount paid for the year) – (full monthly price × months used)

Refunds are processed to the original payment method.

11.4 Overage Billing

Overages are charged monthly at $0.10 per call beyond the included 1,000 calls.

11.5 Payment Failures

If a payment cannot be processed:

  • We may suspend or terminate your account
  • Access may be restricted until payment is resolved

12. Intellectual Property

Cira retains all rights to:

  • The platform
  • AI models, workflows, scripts, and prompts
  • Branding, trademarks, and trade dress
  • Software and associated IP

You may not:

  • Reverse engineer
  • Copy
  • Resell
  • Reproduce
  • Create derivative works
  • Use Cira to build a competing product

You own:

  • Your business information
  • Your call recordings
  • Contacts collected on your behalf
  • Data you provide for configuration

13. Acceptable Use

You may NOT use Cira for:

  • Illegal or fraudulent activities
  • Harassment, threats, hate speech
  • Robocalling, mass solicitation, or spam
  • Misleading or deceptive business practices
  • Attempting to manipulate or bypass the AI
  • Interfering with platform operations

Cira may suspend or terminate abusive accounts immediately.

14. Disclaimer of Warranties

The Service is provided "as is" and "as available."

Cira does not guarantee:

  • Uninterrupted or error-free service
  • Perfect AI accuracy
  • That missed or mishandled calls will never occur
  • That integrations will function at all times

15. Limitation of Liability

To the fullest extent allowed by law:

  • Cira's total liability for any claim is limited to the fees paid in the preceding 30 days
  • Cira is not liable for lost profits, lost opportunities, missed calls, scheduling errors, reputational damage, or indirect damages
  • Cira is not responsible for incorrect configuration or inaccurate business data provided by the Customer

16. Governing Law

These Terms are governed by the laws of the State of Washington, without regard to conflict of law principles.

17. Binding Arbitration & Class Action Waiver

17.1 Arbitration

Any dispute arising out of or relating to the Service or these Terms shall be resolved through binding arbitration conducted in Spokane County, Washington under AAA rules.

17.2 Class Action Waiver

You agree to resolve disputes individually only, and you waive any right to participate in a:

  • Class action
  • Class arbitration
  • Representative action

18. Termination

Cira may suspend or terminate your access to the Service if:

  • You violate these Terms
  • You engage in illegal or abusive behavior
  • You fail to pay fees
  • Your usage threatens platform stability

Upon termination:

  • You lose access immediately
  • Data may be deleted after 30 days

19. Changes to Terms

We may update these Terms at any time.

We will notify customers of material changes.

Your continued use of the Service after changes means you accept the updated Terms.
